Terms & Conditions

1. Definitions
"Designer" refers to Pınar Bahar, the service provider responsible for delivering design services as outlined in the agreement.

"Client" refers to the individual or entity purchasing design services from the Designer.

"Project" refers to the specific design work agreed upon between the Designer and the Client.

2. Proposal Validity
All project proposals are valid for a period of seven (7) days from the date of issuance. After this period, the terms and pricing outlined in the proposal are subject to change.

3. Payment Terms & Project Slot Reservation
A project slot is confirmed only upon receipt of the first payment. Until payment is made, the project schedule is not guaranteed and may be subject to availability.

The total project budget is divided into two (2) equal payments:

  • The first invoice is issued upon project approval, and payment must be made before work begins.

  • The second invoice is issued either after the presentation of three (3) design options (First Milestone) and must be settled before further project development continues OR after the approval of designs, before the delivery of final files; whichever is stated in the proposal document.

4. Accepted Payment Methods

  • Credit card payment via Stripe (subject to a 3% processing fee).

  • Bank transfer to a European bank account.

5. Client Responsibilities
The Client must provide all necessary materials (questionnaire answers, brand content, dielines, feedback) within the agreed timeframe to ensure smooth project progression.

Delays caused by late submissions from the Client may result in timeline extensions.

6. Project Timeline

  • Availability: Clients should confirm availability dates with the Designer before project initiation.

  • Design Presentation: The initial presentation of design options will be delivered within four (4) weeks of project approval.

  • Revisions: Each revision request will be responded to within two (2) weeks.

  • Delays:

    • If the Client fails to provide feedback or revision requests within two (2) weeks after the presentation, the revision timeline may be extended based on other scheduled work.

    • If the project is placed on hold for more than four (4) weeks without any updates from the Client, the timeline and budget will need to be renegotiated.

7. Intellectual Property, Transfer of Rights & AI Restrictions

  • Condition Precedent: Transfer of intellectual property (IP) and commercial usage rights for the single finalized, approved design option is strictly contingent upon receipt of 100% full payment of the total project balance.

  • Unselected Concepts: All preliminary concepts, moodboards, discarded options, and draft layouts remain the exclusive intellectual property of Pinar Bahar. The Client acquires rights only to the single final selected design. Unselected options may not be used, adapted, or shared by the Client or third parties.

  • Generative AI Restrictions: The Client agrees not to input, upload, or process any preliminary concepts, raw working files, vector assets, or final design deliverables produced by Pinar Bahar into generative AI platforms or machine-learning models for style cloning, automated asset generation, or training purposes without explicit written consent.

  • AI-Assisted Briefs & Feedback: AI tools can be a useful part of the creative process, and the Designer does not restrict the Client from using them in general. However, to keep communication clear and ensure the work stays aligned with the Client’s actual goals, the Client agrees not to use AI to independently create the project brief or evaluate design work and generate new feedback or creative direction without discussing it with the Designer first.

    This is not intended to limit the Client’s use of AI. Clients are welcome to use AI to help organize, summarize, or articulate their own thoughts. The purpose of this provision is simply to avoid situations where AI introduces new interpretations, critiques, or requirements that were not part of the original brief or previous discussions.

    The Client’s own thoughts and reactions — even when they are rough, subjective, or difficult to articulate — are valuable and encouraged. If AI-generated feedback introduces a substantially new direction, changes previously agreed requirements, or requires the Designer to revisit previously approved work, this may be considered a change in scope and may be subject to additional fees.

  • Portfolio Rights: Pinar Bahar retains the right to showcase the completed project and visual assets in its portfolio, website, and promotional materials, unless an executed Non-Disclosure Agreement (NDA) explicitly restricts it.

8. File Delivery & Formats
Final design files will be delivered in standard formats (e.g., PNG, JPG, PDF, and vector formats as applicable).

Editable source files may be provided upon request, subject to additional charges.

9. Additional Revisions & Extra Work
Extra revisions beyond the agreed scope are billed at an hourly rate of $150.

Additional requests outside the original scope of work will be quoted separately and must be approved by the Client before execution.

10. Expiration of Rights
If final payment is not made, the Client does not receive legal rights to use the delivered design.

Unauthorized use of unpaid work may result in legal consequences.

11. Project Cancellation and Refunds
If the Client cancels the project after the design options presentation has been delivered, the first payment is non-refundable.

However, the Client will not be billed for the remaining project balance.

12. Confidentiality
Both parties agree to keep project-related discussions and documents confidential unless otherwise agreed in writing.

The Designer reserves the right to mention the collaboration in a portfolio or marketing materials unless restricted by an NDA.

13. Dispute Resolution
In the event of a dispute, both parties agree to attempt to resolve the issue amicably before taking legal action.

If necessary, disputes will be handled in the jurisdiction where the Designer is registered.

14. Force Majeure
The Designer is not liable for delays caused by unforeseen circumstances beyond their control, including but not limited to natural disasters, internet outages, or serious illness.

If such events occur, the timeline may be adjusted accordingly.

15. General Terms
The Designer reserves the right to adjust pricing and terms for future projects based on demand, scope, and complexity.

16. Artificial Intelligence (AI) Policy & Asset Creation

Pinar Bahar guarantees that primary brand identity elements, including core logos, brand marks, layouts, typography structures and packaging designs are 100% human-created, original design works. Pinar Bahar reserves the right to utilize AI technology as a creative workflow tool for research, moodboarding, concept visualization, or in the creation of supplementary brand illustrations, background textures, and decorative graphics. Any AI-assisted illustrative assets incorporated into deliverables are generated using commercially licensed tools and refined by the Pinar Bahar for project use.

By proceeding with the project, the Client acknowledges and agrees to these terms and conditions.
